Terms and Conditions

(our promise)

Introduction
This agreement specifically pertains to the Tootix Partner Program, but should be read in conjunction with Our Standard Terms and Conditions.

1. Partner Prerequisites

 

Although we have different partner programs, partners must meet the following prerequisites:

1.1 Complete the sign-up process (not applicable to Referral Partners).

1.2 Agree to our partnership terms and conditions.


1.3 Obtain the minimum qualification criteria for the various partnership agreements.
 

2. Partner Programs and Qualification Criteria


2.1 Referral Partner: All current active users of Tootix qualify as referral partners and will earn commissions as are determined from time to time provided that:
2.1.1 They are not employed by a company or in their own capacity already participate in our Sales Partner or Channel Partner program.
2.1.2 They agree to our terms and conditions, which is implied when they share their referral codes.
2.1.3 They are active users of Tootix, having received 5-stars ratings in the past 60 days.

2.2 Sales Partner: A sales partner is typically an individual or company that wants to use Tootix as an extension of their existing services or products. All invoicing and client liaison will go through Tootix. To qualify as a Sales Partner:

2.2.1 Training Phase:

2.2.1.1 The prospective partner trains consultants, and then books demos for Tootix qualified consultants and earns commission per demo completed.

2.2.1.2 After training, the Sales Partner can do consultation and earn 50% of all consulting invoices done by Tootix consultants.

2.2.1.3 Once 25 demos are reached, the partner earns a once-off bonus as agreed.

2.2.2 Activation Phase:

2.2.2.1 Earn commissions per user per paying entity. This also applies to the entities who signed up during the training phase.

2.2.2.2 The Sales Partner can do their own consultation and earn 100% of all consulting invoices.

2.2.2.3 Once 25 activations are reached, the partner earns a once-off bonus as agreed.

2.2.3 Sales Partner:

2.2.3.1 Earn recurring commission per user per paying entity. This also applies to the entities who signed up during the training and activation phases.

2.2.3.2 The Sales Partner can do consultation and earn 100% of all consulting invoices.

2.2.3.3 Maintain your Sales Partner status by meeting the requirements as per your agreement.

2.3 Channel Partner: This partnership will be evaluated on a case-by-case basis, but offers partners the opportunity to white-label Tootix and on-sell it as their own branded solution. In this scenario, the customer relationship will be managed by the partner and the Tootix partnership will purely exist to supply and maintain the platform. This option will be negotiated and tailor made on request.

3. Ongoing obligations

3.1 Training: We might require partners to attend additional training or refresher courses to maintain partner status.

3.2 Prerequisites: Due to changes in legal requirements, the technological landscape, or otherwise, Tootix might require additional prerequisites from time to time that partners must adhere to. This will be communicated within reasonable time frames.

 

4. Privacy

Data privacy is of the utmost importance and we require our partners to adhere to all elements in our standard terms and conditions, but furthermore agree that:

4.1 All data belongs exclusively to our customers and cannot be used or repurposed in any way other than to support or train users.

4.2 Data or reports that are extracted can only be done with prior consent from the customer and only for the purposes agreed to.

 

5. Partner promise


As with any relationship, we need to ensure that both parties know what is expected. Most of the time it is obvious, but just be sure we outline the do’s and don’ts:

5.1 Always put our customers first.

5.2 While we can’t cover everything here, we do want to highlight a few more examples of things you should not do:

5.2.1 Anything that will breach or undermine the security or integrity of our platform or services.

5.2.2 Use our services in any way that might impair functionality or interfere with other people’s use.

5.2.3 Gain, or attempt to gain, unlawful access to any system, service or component without permission.

5.2.4 Attack or expose our services to any form of viruses or other malicious code.

5.2.5 Use the platform to plan, execute, monitor or in any way to partake in terrorist or any unlawful activity.

5.2.6 Modify, copy, adapt, reproduce, disassemble, decompile, reverse engineer, or extract the source code of any part of our services.

5.2.7 Resell, lease or provide our services in another environment without such permissions.

 

6. Liability and indemnity


If something happens that is out of the norm, it is not something that either party planned or wished for. In the unlikely event of this happening, we want to ensure we are on the same page in terms of liability and indemnity.

6.1 You indemnify us against all losses, costs (including legal costs), expenses, demands, or liability that we incur arising out of, or in connection with, a third-party claim against us relating to your use of our services or any third-party product. This includes any claims that might arise from consulting, support or training that the partner performed on a customer’s data.

7. Changes to our terms and conditions


The world changes all the time and as a result, we will have to make changes to these terms from time to time.

In the event that we do make changes to our terms and conditions, we will endeavour to:

7.1 Inform you via e-mail of such changes in advance.

7.2 Publish the new terms and conditions on our website.

7.3 Clearly indicate the material changes in accordance with the terms.

8. Pricing and licensing
 

8.1 Pricing and quotes should be honoured where applicable as per your partner agreement.

8.2 Partners are not permitted to add additional licensing fees or charges unless their partnership agreement explicitly allows them to do so.

9. Commission payments and eligibility
 

9.1 Commissions will be paid monthly by the 25th of the month or the first working day thereafter.

9.2 Commissions are subject to the eligibility status of the partner at the time of earning the commission.
